This chapter discusses the importance of the boards and their chairmen to corporate governance. The debate on corporate governance has focused on the role of boards of directors, because they are the bridge between those to whom the board is accountable and those who are accountable to the board. Boards are the link between shareholders and managers in publicly quoted companies and more widely between the providers of funds and those who put them to use. The board primarily looks outwards to those whose aims it has been elected to meet. Its task is to devise plans and policies to achieve those aims and to appoint and monitor executives to ensure that they are achieved.
